Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and OpenPuzzle.ai governing your access to and use of the marketplace platform at www.openpuzzle.ai (the “Platform”). Please read them carefully. By creating an account or using the Platform you accept these Terms.
1. Acceptance of Terms
By accessing or using the Platform you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform. If you use the Platform on behalf of a company, you represent that you are authorized to bind that company, and “you” refers to that company.
2. The Platform
OpenPuzzle operates an online marketplace where independent vendors (“Vendors”) list software solutions, templates, and related digital products (“Solutions”), and customers (“Customers”) can discover, evaluate, and purchase them. OpenPuzzle provides the platform, payment processing infrastructure, and related tools; except as expressly stated, OpenPuzzle is not the seller of the Solutions.
2.1 Relationship between Vendors and Customers
Each purchase of a Solution forms a contract directly between the Customer and the Vendor. OpenPuzzle acts as the Vendor's commercial agent for receiving payments and is authorized to accept payment on the Vendor's behalf. Vendors are solely responsible for their Solutions, including descriptions, quality, licensing, support, and fulfilment.
3. Accounts
- You must be at least 16 years old (or the age of digital consent in your jurisdiction) to create an account.
- You must provide accurate, current, and complete information and keep it updated.
- You are responsible for all activity under your account and for safeguarding your credentials. Notify us immediately at support@openpuzzle.ai of any unauthorized use.
- One person may not maintain multiple accounts except where genuinely required (e.g., separate individual and company accounts).
4. Customers
4.1 Purchases and delivery
When you purchase a Solution, payment is collected at checkout and access or delivery details are made available through your account. You are responsible for reviewing the Solution description, requirements, and licensing terms before purchasing.
4.2 Acceptable use
Unless the applicable license expressly permits otherwise, you may not: redistribute, resell, sublicense, or publicly share a purchased Solution or its source code; use a Solution in violation of any law; or attempt to bypass payment, access controls, or license restrictions.
4.3 Reviews
Only verified purchasers may submit reviews. Reviews must reflect genuine experience and must not be manipulated, purchased, or misleading.
5. Vendors
5.1 Listing requirements
Vendors must: (a) provide accurate and non-misleading Solution descriptions, pricing, and imagery; (b) own or have valid rights to all content and code in their Solutions; (c) clearly state license terms, requirements, and any ongoing obligations; and (d) keep company profile information accurate.
5.2 Fulfilment and support
Vendors must deliver purchased Solutions as described and respond to Customer enquiries within a commercially reasonable time. Repeated failure to fulfil orders may result in suspension or removal.
5.3 Vendor warranties
Each Vendor warrants that their Solutions do not infringe any third party's intellectual property rights, do not contain malicious code, and comply with applicable laws and these Terms.
6. Payments, Fees, and Payouts
- Prices are displayed in the currency indicated on the listing and are exclusive of applicable taxes unless stated otherwise.
- OpenPuzzle charges a transaction fee (the “OpenPuzzle Fee”) on each sale, set as a percentage of the order amount and displayed to Vendors in their sales records. The fee is deducted before payout.
- Vendor payouts of net proceeds (sale price minus the OpenPuzzle Fee, payment processing costs where applicable, and any refunds or chargebacks) are made on the payout schedule agreed with the Vendor.
- You are responsible for any taxes applicable to your purchases or sales, including VAT, sales tax, or income tax.
- We may suspend payouts where fraud, chargebacks, or a violation of these Terms is reasonably suspected.
7. Refunds
Refund rights are set out in our Refund Policy, which forms part of these Terms. Statutory consumer rights that cannot be excluded by contract remain unaffected.
8. Intellectual Property
8.1 The Platform
The Platform, its design, branding, and underlying technology are the property of OpenPuzzle or its licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable right to access and use the Platform in accordance with these Terms.
8.2 Vendor content
Vendors retain ownership of their Solutions and content. By listing a Solution, the Vendor grants OpenPuzzle a worldwide, non-exclusive license to host, display, reproduce, and distribute the listing content on and in connection with the Platform, including for marketing purposes.
9. Prohibited Conduct
You must not: (a) use the Platform for any unlawful purpose; (b) upload or distribute malware, harmful code, or infringing content; (c) misrepresent your identity or affiliations; (d) scrape, crawl, or harvest data from the Platform without written permission; (e) interfere with or disrupt the Platform's infrastructure; (f) engage in fraud, money laundering, or payment abuse; or (g) harass, abuse, or defame other users. API access is subject to rate limits and the documentation at /api-docs.
10. Disclaimers
The Platform is provided “as is” and “as available”. To the maximum extent permitted by law, OpenPuzzle disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. OpenPuzzle does not warrant that Solutions will meet your requirements or that the Platform will be uninterrupted or error-free. OpenPuzzle is not responsible for Vendor Solutions, their performance, or the outcome of their use.
11. Limitation of Liability
To the maximum extent permitted by law, OpenPuzzle's total aggregate liability arising from or relating to the Platform or these Terms is limited to the greater of (a) the OpenPuzzle Fees retained by OpenPuzzle from your transactions in the 12 months preceding the claim, or (b) USD 100. OpenPuzzle is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption. Nothing in these Terms excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence, fraud, or wilful misconduct.
12. Indemnification
You agree to indemnify and hold harmless OpenPuzzle and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your content or Solutions; (b) your use of the Platform; (c) your breach of these Terms or violation of any law or third-party right; and (d) disputes between you and other users, except to the extent caused by OpenPuzzle's breach of these Terms or negligence.
13. Termination
You may close your account at any time by contacting support. We may suspend or terminate access to the Platform immediately, without prior notice, if you breach these Terms, if we reasonably suspect fraud or unlawful activity, or if continued access creates risk for us or other users. On termination, licenses granted by Vendors to host their listings end; purchased licenses between Customers and Vendors survive according to their terms. Provisions that by their nature should survive (including Sections 8, 10–12, 14, and 15) survive termination.
14. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which OpenPuzzle.ai operates, without regard to conflict-of-law principles. Before filing a claim, you agree to contact us at support@openpuzzle.ai and attempt to resolve the dispute informally for at least 30 days. Courts of that jurisdiction have exclusive jurisdiction, except where mandatory consumer protection law provides otherwise.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email or through the Platform at least 14 days before taking effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
